SpinOut Yacht Club — Terms of Service

Welcome to SpinOut Yacht Club. By booking, purchasing, or participating in any SpinOut activity, membership, rental, or event, you agree to these Terms of Service.

1. Who We Are and How These Terms Work

1.1 Definitions. “SpinOut,” “we,” “our” means SpinOut Yacht Club and our staff, guides, and volunteers.

1.2 You. “You” means the member, guest, participant, or legal guardian of a minor.

1.3 Scope. These terms cover all activities with us, including memberships, classes, guided rides, rentals, events, and corporate bookings.

2. Eligibility

2.1 Age: Minimum 13.

2.2 Height: Minimum 60 inches.

2.3 Weight: Maximum 250 pounds.

2.4 Waiver: Everyone must sign our waiver before participation.

2.5 Medical fitness: You confirm you are medically able to take part. Guardians accept responsibility for minors.

3. Safety Rules

3.1 Follow instructions from staff at all times.

3.2 Wear a life jacket on the water.

3.3 No alcohol or drugs before or during your session.

3.4 Safety first: We may end your session or refuse service if behavior is unsafe or disruptive. No refunds in that case.

4. Scheduling, Cancellations, Weather

4.1 Standard window: Cancel or reschedule at least 48 hours before your start time to receive a gift card credit.

4.2 No-shows: No-shows or same-day cancellations are fully charged.

4.3 Weather: If we cancel for unsafe conditions, you get a reschedule or a full credit.

4.4 Special cases: Promotions and third-party bookings may have different rules. See your booking page.

5. Payments and Memberships

5.1 Authorization: You authorize us to charge your payment method for fees, taxes, and charges allowed by these terms.

5.2 Renewal: Memberships renew on the stated billing cycle until you cancel in your account or by written request.

5.3 Nonpayment: Failed or late payments may lead to suspension or termination.

6. Assumption of Risk and Release

6.1 Risks you accept: Water and outdoor activities involve risks, including wakes, tides, wind, cold water, slips, falls, collisions, equipment failure, and changing weather.

6.2 Your agreement: You accept these risks.

6.3 Release: To the fullest extent allowed by law, you release and agree to indemnify SpinOut from claims that arise from your participation, except where caused by our gross negligence or willful misconduct.

7. Damage, Loss, Theft, and Loss of Use

7.1 Your responsibility: You are responsible for intentional or accidental damage to SpinOut property or equipment while in your custody or control. This includes waterbikes, docks, safety gear, electronics, and facilities.

7.2 Inspection and estimate: We will inspect and document the issue and provide an itemized estimate for repair or replacement.

7.3 Repair or replacement: You agree to pay the reasonable cost to repair to pre-incident condition. If repair is not practical, you agree to pay the current retail replacement value.

7.4 Loss of use: You agree to pay reasonable loss-of-use charges for time the gear is unusable, unsafe, or out of service while awaiting inspection, repair, or replacement. Unless stated otherwise in your booking, loss-of-use is billed at our posted private rental hourly rate and capped at 10 calendar days per incident.

7.5 Diminished value and admin: If repaired gear has materially lower value, you agree to pay the documented reduction. An administrative fee up to 15 percent of parts and labor may be added for sourcing, logistics, and documentation.

7.6 Theft or non-return: If gear is lost, stolen, or not returned on time, you authorize charges for the full retail replacement value plus loss-of-use until a replacement is in service.

7.7 Suspension: We may suspend services or memberships until payment is made. Unpaid balances may be referred to collections.

8. Deposits, Card Holds, and Charge Authorization

8.1 Security: We may place a refundable deposit or card hold before participation. If costs exceed the deposit, you remain responsible for the balance.

8.2 Charge authorization: You authorize us to charge your payment method for damage, loss-of-use, retrieval, cleaning, late returns, admin fees, and related taxes after we provide an itemized statement.

8.3 ID: A government ID may be required at check-in.

9. Equipment Condition and Check-in Photos

9.1 Pre-ride check: We inspect equipment before handoff. Please look it over and tell us about any issues before you start.

9.2 Documentation: We may take timestamped photos or video at checkout and return to document condition.

9.3 Duty of care: Use gear with care. Keep it clear of hazards. Secure it when unattended.

10. Retrievals, Late Returns, Cleaning

10.1 Retrievals and tows: If you require retrieval, escort, or tow due to preventable issues or going off route, billing occurs at the posted hourly rate per staff member and vessel, portal to portal.

10.2 Late returns: Late returns are billed at the posted incremental rate. After 30 minutes late, we may charge an additional hour.

10.3 Cleaning: Excessive mud, tar, oil, or biohazard is subject to a cleaning fee based on time and materials.

11. Third-Party Damage and Public Interference

11.1 Prevention: Take reasonable steps to prevent damage by others. Keep bystanders off docks, platforms, and bikes.

11.2 If something happens: If a third party causes damage or theft while the gear is in your custody, notify us at once, gather any witness info you can, and cooperate in recovery.

11.3 Responsibility: You remain responsible for losses not recovered from the third party or their insurer, unless we have taken custody in writing.

12. Prohibited Uses

12.1 No stunts, towing, or racing.

12.2 No unauthorized docking.

12.3 No night riding without written approval.

12.4 Do not modify or repair the equipment.

12.5 No commercial filming, branding, or events without written approval.

13. Photos and Media

13.1 Safety and documentation: We may capture photos or video during activities for safety and documentation.

13.2 Marketing use: Unless you opt out in writing before your session, you grant SpinOut a nonexclusive, royalty-free license to use your likeness for promotional purposes. We will honor opt-out requests.

14. Privacy

14.1 Operations only: We collect personal information to manage bookings, safety, and communications. See our Privacy Policy.

14.2 No sale of data: We do not sell your personal information.

15. Mission and Nonprofit Notice

Your participation supports our community wellness programs, safety training, and scholarships. If any part of your payment is a tax-deductible donation, it will be identified on your receipt.

16. Dispute Resolution and Governing Law

16.1 Talk to us first: Please contact us first. We aim to resolve issues quickly and fairly.

16.2 Arbitration: Except for small claims, disputes will be resolved by binding arbitration in San Francisco County, California.

16.3 Governing law: California law governs these terms.

16.4 Class actions: No class actions. Claims must be brought individually.

17. Changes to These Terms

We may update these terms. The version on our site at the time you book applies to your reservation. We will highlight material changes.

18. Severability and Entire Agreement

If any part of these terms is unenforceable, the rest remains in effect. These terms, your waiver, and your booking confirmation are the entire agreement about your participation.
